1 Parties and acceptance
These Terms are between PRIME NEST HOLDINGS PTY LTD ABN 13 698 630 554, trading as LicenceLane (LicenceLane, we, us), and the sole trader or company identified by its legal name and ABN in the accepted application (you). Instructor means an individual approved by LicenceLane to deliver a Booking. Contact: info@licencelane.com.au or https://licencelane.com.au.
You accept these Terms and the Instructor Code of Conduct electronically through registration. A sole trader accepts for themselves; a person accepting for a company confirms their authority to bind that company. Personal information is handled under the Privacy Policy.
LicenceLane may reasonably update these Terms to reflect changes in law, safety requirements or platform services. We publish the updated Terms and effective date on our website. Material adverse changes require reasonable advance notice through your Instructor account or email, except where urgent legal, safety or security action is necessary. Price, Commission and Payout Fee changes follow clause 11. Termination rights are in clause 16.
Booking means a reservation for a named Instructor, service and time confirmed after learner payment or prepaid redemption. Prepaid Entitlement means hours or specified services issued and recorded by LicenceLane for later Bookings; it does not itself reserve your services. Service Price means the price of your booked lesson or test-day service after discounts, including GST where applicable. Commission means LicenceLane's fee under clause 11. Net Service Proceeds means collected or allocated Service Prices less Commission, before the Payout Fee and authorised adjustments.
Promotional Period means 25 September 2026 to 11:59 pm AEST on 28 February 2027. Payout means a transfer of eligible amounts to your bank account. Payout Fee means the fee in clause 12. Amounts are Australian dollars. Cancellation notice is measured in elapsed hours before the whole booked service starts, using the Booking time zone.
2 LicenceLane role and service scope
You appoint LicenceLane as your non-exclusive booking and payment agent to market your listed services, conclude service contracts with purchasers on your behalf under the LicenceLane Learner Terms and Refund Policy (Learner Terms), and collect payments. Your business supplies the instruction and vehicle services directly to Learners. LicenceLane supplies marketplace services and does not acquire your lessons for resale.
You authorise LicenceLane to administer Bookings, cancellations and refunds under these Terms and the applicable Learner Terms. Your business and the individual Instructor are identified before the Learner authorises payment or applies Prepaid Entitlements to confirm a Booking. Payment to LicenceLane for that Booking discharges the Learner's corresponding payment obligation to you. LicenceLane does not issue licences or conduct licensing assessments.
Learners may buy Prepaid Entitlements from LicenceLane before choosing an Instructor and may use them across different eligible Instructor Businesses. LicenceLane is responsible for issuing, recording and honouring those entitlements under the Learner Terms. Your service contract with the Learner arises when a Booking with your business is confirmed. You accept the allocated prepaid purchase value as payment for that Booking, with settlement and deductions under clauses 11 and 12. You have no entitlement to unreserved prepaid balances. Amounts attributable to lawfully expired, unused entitlements that LicenceLane is legally entitled to retain belong to LicenceLane as income from unused entitlements (breakage), subject to applicable accounting and tax requirements. This does not affect amounts already earned by your business.
Car lessons are offered across Australia, subject to availability. LR, MR, HR and HC training is offered in Queensland only. Do not list services outside these classes or locations.
3 Independent business relationship
You operate your own instruction business and choose your locations, available times, vehicles and lawful teaching methods, subject to agreed service and safety requirements. You may work for other clients and platforms. No work or revenue is guaranteed. Except for LicenceLane's agency authority under these Terms, neither party may bind the other without separate written authority.
You are responsible for your business expenses, taxes and any superannuation, withholding, workers compensation and employment obligations imposed on your business. LicenceLane does not assume those obligations except where liability is imposed directly on LicenceLane by law.
4 Eligibility and verification
Ensure every Instructor holds the licences, instructor authority, accreditation, qualifications, medical clearance and screening, or lawful exemptions, required for their classes and jurisdiction, and has the right to work. Each Instructor must be individually approved by LicenceLane and comply with licence conditions and regulator directions.
Provide accurate verification evidence and permit lawful checks. Report any expiry, suspension, restriction or event affecting eligibility or safety immediately. LicenceLane may pause affected listings while checking a genuine concern.
A verification badge records a check at a point in time; it does not replace your continuing obligations or constitute a government endorsement.
5 Child safety and professional conduct
Comply with the Instructor Code of Conduct and applicable instruction, child-safety, screening and anti-discrimination requirements. Law and regulator directions prevail over an inconsistent platform requirement.
6 Vehicle and insurance
Supply each booked vehicle through your business using a vehicle you own or lawfully lease. You bear all vehicle, equipment and operating costs. The Service Price includes your instruction and vehicle services. LicenceLane reimburses expenses only if agreed in writing or required by law. Use a registered, roadworthy vehicle suitable for the service, with required controls, signs and equipment. Check it before use and do not use a vehicle with a known safety defect.
At your expense, maintain motor vehicle insurance covering paid driving instruction, Learner driving and any test use, including compulsory injury cover and liability for property damage, and professional indemnity and public liability insurance appropriate to your services and risks. The policies must cover your business, approved Instructors and vehicles as applicable. Maintain any other insurance required by law. Provide current evidence and disclose material exclusions on request. Immediately report any lapse, cancellation or reduction affecting cover and stop affected services until adequate cover is restored. LicenceLane's approval or checks do not provide insurance, warrant its adequacy or relieve you of these obligations.
7 Service delivery and records
Deliver the booked duration and inclusions using approved personnel. You may arrange a qualified substitute with LicenceLane's approval, not to be unreasonably withheld where eligibility, insurance and service requirements are met, and the Learner's agreement to a change of named Instructor. You remain responsible for your substitute's performance. Follow the Code's service and safety standards.
Keep accurate, secure records required by law or reasonably needed for attendance, completion, cancellations, incidents and settlements. Provide relevant records for a Booking, complaint or legal obligation on reasonable request.
8 Regulated training and test day services
A LicenceLane Booking does not include a nationally recognised qualification, statement of attainment or licensing assessment. Do not advertise it as doing so.
For test-day support, verify the separately arranged test date, centre, transmission and vehicle requirements. Confirm the meeting or pickup point and reserve time for all inclusions. The licensing authority or authorised provider controls the test and its fee. Queensland LR, MR, HR and HC tests are through TMR.
9 Profiles availability and automatic Bookings
Keep your profile, classes, vehicle, locations, test centres, service area and availability accurate. Activating availability authorises automatic Bookings for those times after payment or prepaid redemption.
Connected calendar free time is bookable only within your activated LicenceLane availability. Check synchronisation, block unavailable times and allow sufficient travel, rest, preparation and test time.
Honour confirmed Bookings without individual acceptance or rejection. A calendar conflict does not cancel a Booking; report it promptly. Protect account access and report suspected compromise.
10 Prices and earnings
You authorise LicenceLane to set Service Prices and discounts for your listed services under this clause and clause 11. LicenceLane independently sets and charges Learners fees for its own booking and administration services and may change those fees for future purchases. Those fees belong solely to LicenceLane and are excluded from the Service Price, Commission base and amounts payable to you.
Service Prices, discounts, applicable prepaid allocation rates, Commission, Payout Fees and estimated Net Service Proceeds are displayed before you activate availability. Prepaid rates reflect the value allocated at purchase, which may differ from a current new-purchase price. Later changes follow clause 11. Do not add an undisclosed charge, collect a second payment or redirect a platform Booking off-platform. Invoice authority is governed by clause 12.
You set prices for services independently sold through other channels. Do not coordinate prices or competitively sensitive information with competing Instructors.
11 Commission and changes
Commission is the applicable percentage of the Service Price and includes GST. It is LicenceLane's fee for agency services. A prepaid Booking's Service Price is the service's allocated purchase value, excluding LicenceLane's separate learner fee. You authorise us to deduct Commission, the Payout Fee and other amounts permitted by these Terms from money collected or allocated for you.
The promotional Commission rate is 10% for an approved, activated Instructor's Bookings confirmed and paid or funded by prepaid services during the Promotional Period, even if delivered later. From 1 March 2027, the standard rate is 20% for new Bookings, subject to the change process below. An unallocated prepaid purchase does not lock a rate for a later reservation. The promotional rate cannot be increased for Bookings qualifying for that promotion.
LicenceLane may reasonably change Service Prices, standard Commission and the Payout Fee to reflect changes in operating costs or services. We will update these Terms and publish the new rates and effective date and time on our website. You may also receive an email about the changes. We will bring any increase in Commission or the Payout Fee, or reduction in Net Service Proceeds for available times, to your attention through your Instructor account or email with reasonable advance notice and any notice required by law.
Changed Service Prices and Commission apply only to Bookings confirmed on or after the effective time, except that a prepaid Booking uses its protected purchase allocation. Confirmed Bookings retain their agreed Service Prices and Commission when performed, rescheduled without material change or paid out. A changed Payout Fee applies from the first scheduled weekly or fortnightly payout on or after its effective time, including payments for earlier Bookings. The Payout Fee is not fixed by a Booking or the Promotional Period.
A change does not pause availability, block new Bookings or require reactivation or separate acceptance. Active availability continues to receive automatic Bookings. You may stop offering new availability and end this agreement without an exit fee. Confirmed Booking obligations remain, and undisputed amounts are paid on the usual schedule under these Terms. We will not delay payment solely because you decline a change.
12 GST invoices and payouts
Accurately declare the contracting business's legal name, ABN, GST registration status and payout details during registration. Promptly notify us of changes and their effective dates. Company applicants must provide the company's details. Nominate a payout account held by or authorised for that business. Changing the contracting entity requires our agreement; changing bank details does not change the supplier. You must register for GST when required and account for GST on your full taxable Service Price, subject to lawful adjustments and credits. LicenceLane accounts for GST on its own supplies.
Provide accurate identity, business and transaction information reasonably required for LicenceLane's tax reporting, including the Sharing Economy Reporting Regime. LicenceLane may check that information and report it to the Australian Taxation Office as required by law.
Collected or allocated payments for completed services become eligible for payout seven elapsed days after the service ends. A lawful late-cancellation amount becomes eligible seven days after the scheduled service end. Eligible amounts are paid in the agreed weekly or fortnightly Monday run, subject to the disclosed cut-off, banking time and lawful dispute holds. A banking holiday moves processing to the next banking business day. LicenceLane remits booking payments as agent, including prepaid amounts allocated to your Bookings. It does not guarantee uncollected learner debts. This does not excuse a failure to account for money received or allocated, or loss caused by LicenceLane.
The Payout Fee is $10 including GST for each actual bank transfer and includes the payout statement. It is deducted once from that settlement. No fee applies where no transfer occurs. LicenceLane will not split payouts to multiply fees. Changes follow clause 11.
Each payout statement shows the relevant Bookings, collected or allocated Service Prices and their GST, Commission and its GST, refunds and adjustments, the Payout Fee and its GST, and the net transfer. LicenceLane provides a tax invoice for its Commission and Payout Fee, separately or within the statement. Your payout includes the remaining amounts payable for your services after those deductions; GST is not added again to the net payout.
Lesson GST depends on your GST registration and the tax treatment of your supply. If you are neither registered nor required to be registered, no GST is charged on your lesson. You must substantiate any GST-free treatment before listing. LicenceLane's own fees remain taxable regardless of your lesson's GST treatment or your GST registration status.
You authorise LicenceLane to issue invoices, receipts and adjustment documents as your agent for services supplied to Learners. Documents for your supplies identify your business and ABN, and distinguish LicenceLane's own supplies and applicable GST as required by law. A purchase of unallocated Prepaid Entitlements does not generate a lesson tax invoice in your name. When a Booking is funded, LicenceLane records the allocation and issues any invoice or adjustment required for the relevant supply. Provide accurate information, promptly correct errors and do not issue a duplicate invoice or adjustment document for the same supply.
We may hold only amounts reasonably connected to a genuine refund, chargeback, fraud or payment dispute, or required by law. We explain and review holds where lawful and pay undisputed amounts normally. Verified overpayments may be recovered after explanation and a reasonable opportunity to dispute them. Except for agreed deductions and lawful withholding, disputed amounts are not deducted unless agreed or determined by a court or tribunal.
13 Cancellations refunds and chargebacks
Honour the Learner Terms accepted for the purchase, including the 24-hour rule, prepaid restoration and disclosed no-change-of-mind conditions for discounted offers. Those conditions do not remove statutory remedies. Cancel only where performance is unsafe, unlawful or genuinely impracticable. Record the reason and notify LicenceLane promptly.
If you cancel, fail to attend, lack authority or cannot start or materially complete a service, including because of breakdown, promptly notify LicenceLane. We administer the Learner's remedy under the applicable Learner Terms, including any refund of the affected Service Price and corresponding learner booking fee. You are not entitled to retain a Service Price for an undelivered service, subject to any mandatory entitlement.
For cancellation with less than 24 hours' notice for a reason within your reasonable control, LicenceLane may recover reasonable additional administration costs up to $50 including any applicable GST. No charge applies for unavoidable safety events, serious illness, emergency, platform fault or another cause outside your control. We give the calculation and a reasonable opportunity to respond before deduction. Costs cannot be recovered twice.
If you were ready and able to perform and a lawful learner late-cancellation amount is retained, your entitlement is that retained Service Price amount less the Booking's Commission percentage. A discretionary refund funded by LicenceLane does not reduce your Net Service Proceeds unless you agree or your conduct caused the refund.
You authorise refunds required by the applicable Learner Terms or law. A refund of your Service Price reduces your proceeds, with the corresponding Commission reversed. If the proceeds were already paid, you must repay the corresponding net amount. A chargeback reverses your proceeds, with the corresponding Commission reversed, only to the extent valid and attributable to your supply, breach or conduct; LicenceLane bears loss caused by its own fault. We provide supporting details and a reasonable opportunity to dispute an adjustment. LicenceLane bears refunds of its own learner booking charges. Other recovery follows clause 17 and cannot duplicate an adjustment. Settlement disputes do not delay consumer remedies.
14 Privacy and intellectual property
Use Learner information only for the service, lawful records and genuine safety or complaint purposes. Protect it and delete unnecessary copies when no longer lawfully needed. Marketing requires separate lawful consent. The Privacy Policy and Code apply.
You retain ownership of your profile material and grant LicenceLane a non-exclusive, royalty-free licence to host, reproduce and display it to operate and promote your listing while active. You must have the necessary rights and consents. LicenceLane and its licensors retain ownership of the platform and their content. You may use them for authorised platform activity; other commercial reuse requires permission unless permitted by law.
15 Complaints incidents and cooperation
Promptly report serious incidents, complaints, suspected fraud, data breaches and events affecting Bookings. Immediate safety and legally required reporting take priority.
Cooperate with reasonable verification, complaint, refund and regulatory enquiries. LicenceLane must limit requests to relevant information and provide a fair opportunity to respond where practicable.
16 Suspension deactivation and termination
LicenceLane may restrict a listing or account where reasonably necessary for safety, invalid authority, suspected fraud, non-payment, repeated cancellation, material breach or legal compliance. It may act immediately for a material risk; otherwise it explains the concern and gives a reasonable opportunity to respond before a final material decision.
You may request review of a restriction. Applicable statutory notice, consultation and review requirements apply. Undisputed earned payments and lawful access to records remain available.
You may end this agreement by written notice without an exit fee. LicenceLane may end it on reasonable written notice for a genuine operational reason, or for a material breach not remedied within a reasonable opportunity where remedy is possible. Immediate action is limited to the risks in this clause and applicable law. Confirmed Bookings and accrued payment, refund, privacy and legal obligations remain unless lawfully resolved. Unreserved Prepaid Entitlements remain LicenceLane's responsibility. Agency authority continues only as needed to settle outstanding matters.
17 Responsibility and liability
Each party is responsible for its own breach, negligence and unlawful conduct. You must deliver services safely, with due care and skill and as described. Neither party excludes a non-excludable obligation, right or remedy under consumer, workplace or other applicable law.
You indemnify LicenceLane against reasonable, foreseeable loss and costs, including third-party liability and reasonable legal costs, actually incurred to the extent caused by your negligent, fraudulent or unlawful conduct, or material breach of these Terms, in providing services or using the platform. Your liability is reduced to the extent LicenceLane or another person contributed to the loss, or LicenceLane could reasonably have avoided it. LicenceLane must mitigate loss and promptly give you details and an opportunity to respond. It will not settle a claim at your expense without your consent, not to be unreasonably withheld. There is no double recovery. This indemnity does not expand clause 13's cancellation-administration cap or change its refund allocation. A disputed indemnity amount is not deducted unless agreed or determined by a court or tribunal.
18 Disputes notices and governing law
Raise disputes at info@licencelane.com.au. This does not restrict regulator complaints, urgent relief or other legal remedies.
Keep your contact details current. Notices use your recorded email or Instructor account, subject to clause 11 and any mandatory delivery requirements.
Queensland law applies, subject to mandatory laws and rights to use another competent court or tribunal. These Terms, the Code and accepted service and promotion details form the agreement, without excluding representations protected by law. The Learner Terms accepted for a purchase govern that Learner's remedies. If a provision is unenforceable, the remainder continues to the extent it can operate lawfully.
